INTRODUCTION: You are entering into this Visa Business Cardholder Agreement (the 'Agreement) with us, under which we agree, subject to the terms and conditions of this Agreement, to lend you money for business, commercial, agricultural or governmental purposes through the use of credit cards ('Cards'). You promise to pay us back the money, plus any applicable interest charges and fees, in accordance with this Agreement. You borrow under this Agreement when an Employee uses or authorizes the use of a Card, even if he or she does not sign a purchase slip or other document for the transaction. If an Employee uses or authorizes the use of a Card number issued in connection with your Account without presenting a physical Card (such as for mail, telephone, or Internet purchases or 'virtual card' transactions), those transactions will be treated under this Agreement the same way as if the Employee used a physical Card in person. If your Employee lets someone else use his or her Card, the Company is responsible for all transactions that person makes with the Card until you tell us to disable the Card. The Company, by establishing an Account and authorizing Employee(s) to use Card(s), agrees to the terms and conditions set forth in this Agreement. MEANING OF TERMS: In this Agreement, including the Introduction above, 'we, 'us' and 'our' refer to UMB Bank, n.a. 'You' refers to the Company.
